Affiliate Program Terms and Conditions

1. Agreement and participation
These Affiliate Program Terms and Conditions (the “Affiliate Terms”) govern participation in the VirtuGF affiliate program (the “Program”) operated by VirtuAI (“VirtuAI,” “we,” “us,” or “our”) through FirstPromoter. By applying for, accessing, or participating in the Program, you (“Affiliate” or “you”) agree to these Affiliate Terms.
We may approve or reject an application at our discretion. If you do not comply with these Affiliate Terms, we may suspend or terminate your participation and withhold or cancel commissions as described below.
2. Your representations and responsibilities
By participating in the Program, you represent and warrant that:
- you are at least 18 years old and have the legal capacity and authority to accept these Affiliate Terms
- all information you provide is accurate, complete, and current, and you will promptly update it when it changes
- you are responsible for all activity conducted through your affiliate account and for keeping its access credentials secure
- you will advertise only in jurisdictions where promoting and selling the relevant adult-oriented services is lawful
- your participation, websites, promotional channels, and marketing practices comply with these Affiliate Terms, applicable laws, advertising rules, platform policies, and generally accepted ethical standards
3. Commissions and attribution
Subject to these Affiliate Terms, you earn commission on qualifying payments made by users validly referred through your affiliate link and attributed to you by FirstPromoter. Commissions for an active affiliate are recurring for as long as the referred customer remains active and the relevant payments remain eligible. The applicable commission rate and attribution shown in your affiliate account form part of the Program rules.
Refunded, reversed, disputed, fraudulent, duplicate, cancelled, or otherwise ineligible transactions do not qualify for commission. We may correct tracking or calculation errors. After an affiliate account is terminated, it will not earn further commission.
4. Payouts
- Each billing period is one full calendar month.
- Approved payouts are normally sent within 15 days after the end of the relevant billing period.
- Available payout methods may include PayPal or wire transfer.
- You must provide complete payout details before the first day of the month to be eligible for a payout for the relevant billing period.
- For self-billing and payment administration, you must provide your full legal name and postal address and keep that information current in your affiliate profile or provide it to our team before the first day of the month.
- The minimum payout amount is USD 100. Amounts below that threshold carry forward until the threshold is reached.
- You are responsible for any taxes, declarations, fees, or other obligations arising from commissions paid to you.
Personal information supplied for payouts and self-billing will be handled in accordance with our Privacy Policy and used as necessary to administer the Program, satisfy legal obligations, prevent fraud, and issue self-billing documentation.
5. Prohibited promotional methods
All Program marketing must be lawful, accurate, transparent, and ethical. You must not use any of the following methods.
Paid-search brand bidding
You may not bid on “VirtuGF,” “VirtuAI,” their variations or misspellings, or other VirtuAI trademarks in Google Ads or any other paid-search service. This applies to exact, phrase, broad, and substantially similar keyword targeting. You may not use our trademarks in paid-ad display URLs or in a manner that suggests the advertisement was placed by us.
Incentivised traffic
You may not offer cashback, rewards, payments, credits, prizes, or other incentives in exchange for registering, clicking, purchasing, or otherwise using your affiliate link unless we have approved the campaign in writing.
Impersonation and unauthorised claims
You act solely on your own behalf. You may not claim or imply that you represent, work for, speak for, or have authority to bind VirtuAI or VirtuGF. Our prior written approval is required before you conduct a marketing, public-relations, press, or similar campaign in our name or communicate with journalists or publishers as though you act for us.
You may not misrepresent our approval of your content, create fake VirtuGF or VirtuAI profiles, or use branding, page designs, domains, social accounts, or communications that are likely to be mistaken for an official VirtuAI property.
Illegal, abusive, or harmful content
You may not place or promote Program materials on any website, app, account, channel, or other property that contains, facilitates, or promotes illegal, abusive, offensive, or harmful material. This includes child sexual abuse or exploitation, sexualisation of minors, hate speech, encouragement of self-harm, violence or sexual violence, trafficking, leaked content, non-consensual intimate imagery, or deceptive deepfakes.
You may not promote VirtuGF using words, imagery, metadata, or targeting that sexualises or appears to sexualise anyone under 18. Promotional material must not be placed where it is likely to be viewed by children, and every property on which it appears must comply with applicable age-gating and age-verification requirements.
Your marketing must respect copyright, trademark, privacy, publicity, and all other third-party rights. You may not scrape, copy, republish, or otherwise use third-party material without the required rights or permission.
Spam, deception, and other restricted practices
You may not:
- send spam or unsolicited commercial messages, engage in forum or comment spam, or violate CAN-SPAM, CASL, GDPR/ePrivacy requirements, or other applicable direct-marketing rules
- use content locking, cookie stuffing, forced clicks, hidden redirects, misleading links, adware, spyware, toolbars, or other deceptive or unauthorised tracking methods
- alter, frame, clone, or create an unauthorised version of a VirtuAI landing page or other VirtuAI property
- make false, unsubstantiated, misleading, or deceptive statements about VirtuGF, its features, pricing, availability, results, or competitors
- use another company’s name, trademark, content, or domain in a manner that infringes its rights or falsely suggests affiliation or endorsement
- register or use a domain, subdomain, social handle, or account name containing a VirtuAI or VirtuGF trademark, a confusingly similar term, or a competitor’s trademark for Program promotion
- disparage VirtuAI or VirtuGF or portray them in a misleading or materially negative manner
- direct traffic from inactive, non-functional, incomplete, or materially misleading URLs
- refer yourself, create duplicate or fictitious accounts, manipulate attribution, or otherwise attempt to generate commissions without a genuine independent customer transaction
6. Monitoring, suspension, termination, and forfeiture
We may monitor referrals, traffic, conversions, chargebacks, and sales for compliance and fraud prevention. We may request information reasonably needed to verify a traffic source, campaign, identity, transaction, or compliance with these Affiliate Terms.
We may suspend or terminate an affiliate account, with or without prior notice, if we reasonably suspect prohibited, fraudulent, misleading, unethical, or unlawful conduct or need to investigate potential non-compliance. During an investigation, we may delay payouts and pause tracking or account access.
If we determine that you violated these Affiliate Terms, commissions connected with the violation, together with any other unpaid commissions where permitted by law, may be cancelled. This does not limit any other rights or remedies available to us.
7. Confidentiality and legal compliance
Unless disclosure is required by law or we consent in writing, you must not publicly disclose non-public commission rates, earnings, conversion data, campaign information, or other confidential Program information.
You must comply with all applicable consumer-protection, advertising, endorsement, data-protection, privacy, and electronic-marketing laws. You must clearly disclose your affiliate relationship wherever required and ensure that any endorsement is truthful and reflects your genuine experience.
8. Changes to the Program or these Affiliate Terms
We may modify, suspend, or discontinue the Program or update these Affiliate Terms. We will give notice of material changes through FirstPromoter, email, the Program interface, or another reasonable channel. Unless a different effective date is stated, continued participation after an update takes effect means that you accept the revised Affiliate Terms.
9. Indemnification
To the extent permitted by law, you will indemnify, defend, and hold harmless VirtuAI and its affiliates, officers, directors, employees, agents, service providers, and licensors from third-party claims, proceedings, losses, liabilities, damages, penalties, costs, and reasonable legal fees arising out of or relating to:
- your participation in the Program or your marketing activities
- your use of FirstPromoter or another affiliate-management service in connection with the Program
- your breach of these Affiliate Terms or applicable law
- your infringement or violation of another person’s rights
We will notify you in writing within a reasonable time after becoming aware of a covered claim and provide reasonable information and assistance, at your expense, for its defence. Subject to our right to participate with counsel of our choice, you may control the defence and settlement. You may not settle a claim without our prior written consent if the settlement imposes an obligation or restriction on us, requires an admission by us, or creates liability not covered by your indemnification obligation.
10. Disclaimers and limitation of liability
To the maximum extent permitted by law, the Program, FirstPromoter integration, VirtuGF services, promotional materials, and related products and services are provided “as is” and “as available.” VirtuAI and its affiliates and agents make no representation or warranty regarding their suitability, reliability, availability, continuity, timeliness, security, accuracy, merchantability, fitness for a particular purpose, title, or non-infringement. We do not guarantee any level of traffic, referrals, conversions, commissions, or earnings.
To the maximum extent permitted by law, VirtuAI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising out of or relating to the Program.
If VirtuAI is found liable to you or a third party despite these Affiliate Terms, VirtuAI’s total aggregate liability arising from the Program will not exceed the commission you actually earned for the relevant customer transactions during the 12 months immediately before the event giving rise to the claim. Nothing in these Affiliate Terms excludes or limits liability that cannot lawfully be excluded or limited.
